AGREEMENT FOR LISTING ADVERTISING SPACE OFFERS VIA ROEGA

1. Parties and Scope

This agreement governs the listing of advertising space offers (“Advertising Offers”) by third-party providers (“Provider”) on platforms operated or managed by ROEGA. By submitting an Advertising Offer, the Provider agrees to the terms set forth in this agreement.

2. Commission Obligation

Upon successful conclusion of an agreement between the Provider and an advertising partner that results from or is connected to a listing via ROEGA, the Provider is obligated to pay a commission of five percent (5%) of the total agreed advertising fee to ROEGA. The commission becomes due immediately upon receipt of payment from the advertising partner.

3. Monitoring and Verification

ROEGA reserves the right to independently review, monitor, and verify the status of listed Advertising Offers. If ROEGA determines that an Advertising Offer has been sold or monetized and ROEGA has not received the corresponding commission, ROEGA may assume a breach of this agreement.

4. Sanctions for Breach

In the event of a breach, ROEGA reserves the right to: Remove offers, temporary or permanent suspension/exclusion from the platform, and initiation of legal action where applicable.

5. Disclaimer of Liability

ROEGA acts solely as a listing and mediation platform and is not a contractual party to agreements concluded between Providers and advertising partners. ROEGA assumes no liability for non-payment or contractual disputes.

6. Non-Payment by Advertising Partners

In the event that an advertising partner fails to fulfill payment obligations, ROEGA may take reasonable measures, including blocking the partner or waiving the Provider’s commission for the affected transaction at its own discretion.

7. No Guarantee of Success

ROEGA does not guarantee the successful sale, booking, or monetization of any Advertising Offer. All economic risk remains with the Provider.

8. Governing Law and Jurisdiction

This agreement shall be governed by and construed in accordance with the laws of the Federal Republic of Germany. The place of jurisdiction shall be ROEGA’s registered place of business.

9. Severability

If any provision of this agreement is held to be invalid or unenforceable, the remaining provisions shall remain unaffected.

10. Acceptance

By submitting an Advertising Offer via ROEGA, the Provider confirms that they have read, understood, and accepted this agreement in full.
